Wynn Resorts has priced a private offering of $900 million in 6.875% senior notes due 2035. Two indirect wholly owned subsidiaries, Wynn Resorts Finance and Wynn Resorts Capital, executed the deal.
Wynn expects the offering to close on or about Sept. 22, 2026, subject to customary closing conditions.
Proceeds Go Toward Wynn Las Vegas Debt Redemption
The company said Wynn Resorts Finance plans to contribute and/or lend the net proceeds from the offering, together with cash on hand, to Wynn Las Vegas, LLC.
Wynn Las Vegas is planning to use those funds to redeem in full its 5.250% senior notes due 2027, issued by Wynn Las Vegas Capital Corp. The proceeds will also cover fees and expenses for the new note issuance and the planned redemption.
Wynn Las Vegas intends to redeem all outstanding 2027 notes on or after the closing of the new offering.
Private Placement Targets Institutional and Offshore Buyers
The notes are being offered in a private placement, not a public sale. Wynn has not registered the securities under the Securities Act of 1933 or state securities laws, and does not plan to.
The initial purchasers plan to offer the notes only to qualified institutional buyers under Rule 144A and to certain persons outside the United States under Regulation S.
The announcement marks a refinancing move specific to Wynn Las Vegas rather than an operating update for the casino industry.
Wynn did not disclose additional changes to its business outlook in the release at the moment.
