Tilman Fertitta’s planned acquisition of Caesars Entertainment must clear New Jersey gaming regulators before the deal can be completed, placing the state at the center of one of the industry’s biggest transactions in recent years.
Fertitta Entertainment announced last week it would acquire Caesars Entertainment in a deal valued at approximately $17.6 billion, including debt. If approved, the acquisition would bring Caesars Atlantic City, Harrah’s Resort Atlantic City and Tropicana Atlantic City under Fertitta’s control.
Like any major ownership change involving Atlantic City casinos, the transaction will require review by New Jersey regulators.
In addition, Fertitta would assume ownership of New Jersey online casinos Caesars operates, too.
DGE review part of standard process
The New Jersey Division of Gaming Enforcement confirmed to PlayNJ it will examine the proposed acquisition under the state’s Casino Control Act.
“As with other transactions related to casinos operating in New Jersey, under the direction of the Attorney General’s Office, the Division of Gaming Enforcement (DGE) will review the proposed acquisition pursuant to the provisions of the Casino Control Act and the regulations promulgated thereunder (N.J.S.A. 5:12-80 et seq. and N.J.A.C. 13:69C-1.1 et seq).
In keeping with ordinary practice, DGE expects its review will align with the parties’ closing schedule.”
The review is expected to focus on the suitability of the proposed ownership structure and whether the transaction complies with New Jersey gaming laws and regulations.
Acquisitions involving Atlantic City properties routinely undergo extensive regulatory checks. Regulators evaluate ownership interests, financing arrangements, and other factors before approving transfers of control.
The DGE’s statement suggests the review will proceed alongside the companies’ anticipated timeline for closing the transaction.
Fertitta already has Atlantic City ties
Fertitta enters the process with a significant advantage: He is already a casino owner in Atlantic City.
Through Fertitta Entertainment, he owns Golden Nugget Atlantic City and Golden Nugget online casino, giving him years of experience operating within New Jersey’s highly regulated gaming industry.
That familiarity could help streamline the review process compared with a buyer entering the market for the first time, though the acquisition itself will still receive a full regulatory examination.
If approved, Fertitta would expand from one Atlantic City property to four, becoming one of the market’s largest operators.
The deal would also further consolidate ownership among major US gaming companies while giving Fertitta control of some of Atlantic City’s most recognizable brands.
For now, the transaction remains subject to shareholder approval and regulatory reviews in New Jersey and other gaming jurisdictions before it can officially close.
How does the shakeup affect NJ players
According to the press release, key executives at Caesars are expected to remain in their current roles, which means there does not appear to be huge structural changes.
Both companies said they remain committed to providing a superior gaming experience. The press release stated:
“On a combined basis, guests will enjoy access to an expansive suite of diversified offerings – 60 casino resorts and gaming facilities, online gaming including sports betting, iCasino, and Poker through Caesars’ leading digital platform, retail sports betting at over 200 third-party locations through the William Hill brand, and over 600 Fertitta Entertainment outlets, including Landry’s full-service restaurants, plus multiple amusement, entertainment and aquarium venues.”
For now, the transaction does not appear likely to result in immediate changes for New Jersey players. However, it remains unclear whether Fertitta’s ownership could eventually lead to changes involving branding, loyalty programs, or online gaming products.
